Vigilo Terms of Service

These Terms of Service govern your use of Vigilo. By creating an account, subscribing, installing, accessing, or using Vigilo, you agree to these Terms.
If you do not agree, do not use the service.
1. Parties and Service Name
These Terms are between you and Vigilo AH Digital Services Inc., which offers the service under the name Vigilo.

2. Eligibility and Geographic Limits
You may use Vigilo only if:
- you are 21 years of age or older;
- you are legally able to enter into a binding agreement; and
- you are a resident of Canada or the United States and you are not a resident of Quebec.
Vigilo is not offered to individuals under 21 years of age. By using Vigilo, you represent and warrant that:
- you meet the age requirement;
- you are a resident of Canada or the United States and you are not a Quebec resident; and
- your use of the service is lawful where you live.
3. What Vigilo Does
Vigilo is a subscription-based scam-detection service. Depending on the feature and platform, Vigilo may:
- analyze email content including sender address, subject line, and message body using AI for scam-related language;
- analyze text message content and sender phone numbers using AI for scam-related language;
- compare text-message sender numbers against scam-number databases;
- compare incoming caller numbers against scam-number databases; and
- generate alerts in a web interface, mobile app, email experience, messages app, push notification, or device notification area.
Email access may occur through:
- a browser extension that operates within a supported email account in the browser;
- user forwarding of emails to a Vigilo scan address for analysis; and/or
- user login and permissions granted through a Vigilo web or mobile client.
4. No Guarantee; User Judgment Still Required
Vigilo is designed to help identify possible scams, but it is not a guarantee.
You understand and agree that:
- Vigilo may miss scams;
- Vigilo may flag legitimate communications as suspicious;
- AI outputs may be inaccurate;
- scam-number data may be incomplete, delayed, or outdated;
- alerts are informational only; and
- no scam-detection service can prevent all fraud, identity theft, financial loss, or harm.
You remain responsible for your own decisions, including whether to:
- open a message;
- click a link;
- respond to a text or caller;
- send money;
- disclose personal information; or
- download files or apps.
5. Your Account and Permissions
You may need an account to use Vigilo. You agree to:
- provide accurate information;
- keep your credentials secure;
- promptly notify us of suspected unauthorized access; and
- keep your permissions and contact information current.
You authorize us to process information from your connected accounts, devices, and communications as described in the Privacy Policy and these Terms.
6. Authority and Consent for Monitoring
You may use Vigilo only for communications, accounts, and devices that:
- belong to you; or
- you are legally authorized to connect and monitor.
For family, caregiver, and business uses, you are responsible for ensuring that the adult person whose communications or device are being monitored has provided the required consent and authorization.
You must not use Vigilo to monitor any person under 21 or any person without valid authority and consent.
7. Subscriptions, Billing, and Payment Providers
Vigilo is offered on a monthly or annual subscription basis.
Pricing is presented at checkout, in the relevant app store, and/or in your account settings. Prices are not stated in these Terms.
Depending on how you subscribe, payment and subscription processing may be handled by:
- payment processors for web transactions;
- subscription management providers for certain mobile subscription functions;
- app stores, mobile platform payment providers; or
- another payment or platform provider identified at purchase.
By subscribing, you authorize the applicable provider and us to charge the fees, taxes, and other amounts disclosed at purchase.
8. Automatic Renewal
Unless clearly stated otherwise at purchase, subscriptions renew automatically until canceled.
We will provide advance notice at least 30 days before renewal where we have committed to do so or where required by law.
To avoid renewal, you must cancel before the renewal date through the applicable channel.
9. Cancellation
You may cancel your subscription through:
- your account settings in the web application;
- the iOS app;
- the Android app; or
- the applicable app store or platform subscription management tools, if your subscription is billed through those platforms.
Cancellation generally takes effect at the end of the current billing period unless a different timing is required by law or stated at purchase.
Deleting the app alone does not necessarily cancel your subscription.
10. Refunds
Except where required by law or by applicable platform or payment-provider rules, all purchases are non-refundable.
If you purchased through:
- an app store, refund requests may be governed by that app store's rules;
- a mobile platform marketplace, refund requests may be governed by that marketplace's rules;
- a payment processor, subscription management provider, or another provider, refund handling may be subject to that provider's applicable policies and payment flow.
Nothing in these Terms limits any non-waivable refund rights you may have under applicable law.
11. Failed Payments and Chargebacks
If a payment fails, is reversed, is charged back, or cannot be completed, we may:
- suspend access to some or all features;
- retry payment where permitted;
- limit account functionality; or
- terminate the subscription if payment is not resolved.
We may also recover fees, costs, or losses where permitted by law and the applicable payment terms.
12. Acceptable Use
You agree not to:
- use Vigilo for unlawful, fraudulent, abusive, or unauthorized purposes;
- use Vigilo to monitor a person without valid authority and consent;
- interfere with, disrupt, probe, or bypass security or access controls;
- reverse engineer or attempt to extract source code except where law prohibits restricting that right;
- upload malware or harmful code;
- misuse scam alerts or service outputs; or
- use the service in a way that violates another person's rights or applicable law.
13. Third-Party Services and Platforms
Vigilo works with third-party providers and platforms, including email providers, mobile operating systems, app stores, payment processors, AI providers, analytics providers, advertising and retargeting providers, support providers, security providers, communications providers, cloud hosting providers, and scam-number database providers.
We are responsible for the Vigilo service itself and for how we handle information within Vigilo. Third parties are responsible for their own products, systems, policies, and service availability.
Your use of a third-party platform may also be subject to that platform's own terms and policies.
14. Service Changes and Availability
We may update, modify, suspend, or discontinue features of Vigilo from time to time, including:
- supported providers or integrations;
- AI models, rules, or detection logic;
- scam-number data sources;
- alert types and delivery methods; and
- website, mobile, or subscription features.
We may also release beta, preview, or experimental features, which may be less stable and may change or be removed at any time.
15. Intellectual Property
Vigilo, including its software, design, alerts, content, logos, interfaces, and related technology, is owned by Vigilo AH Digital Services Inc. or its licensors.
We grant you a limited, non-exclusive, non-transferable, revocable right to use Vigilo for your internal personal, family, caregiver, or business purposes in accordance with these Terms and your subscription.
No ownership rights are transferred to you.
16. Feedback
If you provide feedback, suggestions, or ideas about Vigilo, you grant us the right to use them without restriction or compensation to you.
17. Privacy
Your use of Vigilo is also governed by the Privacy Policy above. By using Vigilo, you acknowledge that we may collect, use, disclose, and retain information as described there.
18. Disclaimers
To the maximum extent allowed by law, Vigilo is provided "as is" and "as available."
We do not guarantee that:
- the service will be uninterrupted;
- the service will always be available on every device or provider;
- every scam will be detected;
- every legitimate message will avoid being flagged;
- every database result will be current or complete; or
- the service will prevent financial loss, fraud, identity theft, reputational harm, or other damage.
Some laws do not allow certain disclaimers. In those places, parts of this section may not apply to you.
19. Limitation of Liability
To the maximum extent allowed by law, Vigilo AH Digital Services Inc. and its directors, officers, employees, contractors, service providers, licensors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, loss of goodwill, loss of data, fraud loss, identity-theft loss, or losses caused by missed, delayed, or inaccurate scam alerts.
To the maximum extent allowed by law, our total liability for all claims arising out of or relating to Vigilo will not exceed the total amount you paid for the service in the 12 months immediately before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law.
20. Indemnity
To the extent allowed by law, you agree to defend, indemnify, and hold harmless Vigilo AH Digital Services Inc. and its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, losses, damages, liabilities, and expenses arising out of or related to:
- your misuse of Vigilo;
- your violation of these Terms;
- your unlawful or unauthorized monitoring of another person;
- your violation of law; or
- your infringement of another person's rights.
21. Suspension and Termination
You may stop using Vigilo at any time.
We may suspend or terminate your access if:
- you violate these Terms;
- your payment fails or is reversed;
- you lack authority or consent for the accounts or devices connected;
- your use creates legal, security, or operational risk;
- we are required to do so by law; or
- we discontinue the service.
After termination, your right to use the service ends, but provisions that by their nature should survive will continue to apply.
22. Consumer Rights
Nothing in these Terms is intended to limit rights you may have under consumer protection laws that cannot be waived by contract.
23. Governing Law and Forum
These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-laws principles, except to the extent a non-waivable law applies where you live.
Unless applicable law requires otherwise, the courts located in Toronto, Ontario will have exclusive jurisdiction over disputes arising out of or relating to these Terms or Vigilo.
24. Informal Resolution and Class Waiver
Before starting a formal legal claim, you agree to contact us first at legal@myvigilo.com and try to resolve the dispute informally.
To the extent permitted by applicable law:
- disputes must be brought on an individual basis; and
- you agree not to participate in a class, collective, consolidated, or representative action against us.
If applicable law does not allow some part of this section, that part will apply only to the maximum extent permitted.
25. App Store Terms
If you download or use Vigilo through an app store or mobile platform marketplace:
- your use must also comply with the applicable platform rules;
- the platform provider may have separate rights and obligations relating to billing, refunds, subscription management, and device compatibility;
- app store and mobile platform providers are not responsible for providing the Vigilo service itself; and
- any claims relating to the Vigilo service should be directed to Vigilo AH Digital Services Inc., not the app store or platform provider, except where platform rules clearly say otherwise.
26. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice as required by law.
Your continued use of Vigilo after the updated Terms take effect means you accept the revised Terms, except where applicable law requires a different form of consent.
